Kinswell Terms of Service

1. Introduction and Acceptance

Welcome to Kinswell ("Service," "we," "us," or "our"). By accessing or using Kinswell, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

Kinswell is a family health records management application that allows you to organize and track health information for yourself and your family members.


2. Eligibility

To use Kinswell, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete registration information
  • Not be prohibited from using the Service under applicable laws

If you are using Kinswell on behalf of a family or household, you represent that you have the authority to bind that family or household to these Terms and to enter health information on behalf of family members under your care.


3. Account Registration and Security

3.1 Account Creation

To use Kinswell, you must create an account by providing a valid email address and password. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts may result in termination of all accounts.


4. Description of Service

Kinswell provides tools for personal health record management, including:

  • Family Member Profiles: Create and manage health profiles for family members
  • Medication Tracking: Record medications, dosages, frequencies, and prescribers
  • Health Episode Tracking: Document health events, symptoms, and body system categorization
  • Appointment Management: Track medical appointments and outcomes
  • Caregiver Dashboard: View health summaries across family members

4.1 Service Limitations

The Service is designed for personal record-keeping and organizational purposes only. We may modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.


5. Medical Disclaimer

IMPORTANT: KINSWELL IS NOT A MEDICAL DEVICE, HEALTHCARE PROVIDER, OR SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT.

5.1 Not Medical Advice

The Service is intended solely for personal health record organization and management. Nothing in the Service should be construed as:

  • Medical advice or diagnosis
  • A recommendation for any specific treatment, medication, or healthcare provider
  • A substitute for consultation with qualified healthcare professionals
  • A replacement for emergency medical services

5.2 Healthcare Decisions

Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of information you have recorded or viewed in Kinswell.

5.3 Emergency Situations

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER IMMEDIATELY. Do not use Kinswell to seek emergency medical assistance.

5.4 Accuracy of Information

You are solely responsible for the accuracy and completeness of the health information you enter into the Service. We do not verify, validate, or guarantee the accuracy of any health information stored in your account.


6. User Responsibilities and Conduct

6.1 Acceptable Use

You agree to use Kinswell only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Enter false, misleading, or fraudulent information
  • Access or attempt to access accounts belonging to others
  • Interfere with or disrupt the Service or servers
  • Attempt to circumvent any security features
  • Use automated systems to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Resell, sublicense, or commercially exploit the Service without authorization

6.2 Content Responsibility

You are solely responsible for all information, data, and content you enter into Kinswell ("User Content"). You represent and warrant that:

  • You have the right to enter and store all User Content
  • Your User Content does not violate the privacy or other rights of any third party
  • You have appropriate authorization to enter health information for any family member listed in your account

6.3 Family Member Information

When entering information about family members, you represent that you:

  • Are a parent, legal guardian, or authorized caregiver for minor children
  • Have obtained appropriate consent or authorization from adult family members
  • Will use this information solely for legitimate family health management purposes

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, functionality, and content (excluding User Content), is owned by Kinswell and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes.

7.2 Your Content

You retain ownership of your User Content. By using the Service, you grant us a limited license to store, process, and display your User Content solely to provide the Service to you.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without compensation or attribution to you.


8. Subscription and Payments

8.1 Free and Paid Plans

Kinswell offers both free and paid subscription plans. The features and limitations of each plan are described on our website and may be modified from time to time.

8.2 Payment Terms

For paid subscriptions:

  • Payment is due at the beginning of each billing period
  • Subscriptions automatically renew unless cancelled before the renewal date
  • Prices are subject to change with reasonable notice
  • All payments are non-refundable except as required by law or as expressly stated

8.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of your paid period.

8.4 Free Plan Limitations

The free plan includes limitations on the number of family members, medications, health episodes, and historical data retention. These limitations are subject to change.


9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

9.1 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is completely secure. While we strive to protect your information, we cannot guarantee absolute security.

9.2 Data Ownership

You own your User Content. We do not sell your personal health information to third parties. See our Privacy Policy for complete details on data handling.


10. Third-Party Services

10.1 Third-Party Integrations

The Service may integrate with or link to third-party services (such as email providers or calendar applications). Your use of third-party services is governed by their respective terms and privacy policies.

10.2 No Endorsement

Links to or integrations with third-party services do not constitute endorsement or approval of those services.


11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of any information obtained through the Service
  • Warranties that defects will be corrected

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KINSWELL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

This includes but is not limited to:

  • Loss of profits, data, or goodwill
  • Personal injury or property damage
  • Any damages resulting from your use of or inability to use the Service
  • Any damages resulting from unauthorized access to your account
  • Any damages resulting from errors, omissions, or inaccuracies in User Content
  • Any damages resulting from healthcare decisions made based on information in the Service

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow limitations on liability, so some of the above limitations may not apply to you.


13. Indemnification

You agree to indemnify, defend, and hold harmless Kinswell and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Any User Content you submit or store through the Service
  • Your negligence or willful misconduct

14. Term and Termination

14.1 Term

These Terms are effective until terminated by you or us.

14.2 Termination by You

You may terminate your account at any time by using the account deletion feature in the Service or by contacting us at privacy@kinswell.app.

14.3 Termination by Us

We may suspend or terminate your account at any time if:

  • You violate these Terms
  • We are required to do so by law
  • We discontinue the Service
  • We reasonably believe your account has been compromised

14.4 Effect of Termination

Upon termination:

  • Your right to use the Service will immediately cease
  • You may export your data before termination (if the feature is available)
  • We may delete your User Content after a reasonable retention period
  • Provisions of these Terms that by their nature should survive will survive termination

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at legal@kinswell.app to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.3 Jurisdiction

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.


16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on the Service
  • Sending an email to the address associated with your account
  • Displaying a prominent notice within the Service

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.


17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kinswell regarding the Service.

17.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Kinswell.

17.6 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
